Terms of Service

These Terms of Service govern access to and use of Classfold, the multi-tenant learning management platform provided by Vinidra Infotech Pvt. Ltd. By creating an account, accepting an order, or using Classfold, you agree to these terms.
Agreement to these terms
These Terms of Service (the “Terms”) form a binding agreement between you and Vinidra Infotech Pvt. Ltd. (“Vinidra”, “we”, “us”) for the Classfold product and related websites, APIs, and support channels we make available.
If you accept these Terms on behalf of an institute, company, or other legal entity, you represent that you have authority to bind that entity. In that case, “you” and “Customer” refer to that entity. If you lack authority, you must not accept these Terms or use the service on that entity’s behalf.
Individual end users who access a tenant workspace because an institute invited them are also bound by acceptable-use and confidentiality rules in these Terms, in addition to any policies their institute sets.
If you have a separate signed master services agreement or order form with Vinidra that expressly conflicts with these Terms, the signed document controls for the conflicting subject matter to the extent of the conflict.
Eligibility and accounts
You must be able to form a binding contract under applicable law to create a Classfold customer account. End users who are minors may use Classfold only through an institute that has lawful authority to provide them access and only under that institute’s supervision and policies.
You must provide accurate registration information and keep it current. You are responsible for all activity under your credentials and for maintaining the confidentiality of passwords, API keys, and session tokens issued to you.
Customer administrators must configure roles and permissions carefully. Vinidra is not responsible for access granted inside a tenant by the Customer’s own administrators or for credentials the Customer fails to secure.
We may refuse registration, reclaim usernames, or require additional verification when reasonably needed to protect the service, comply with law, or prevent abuse.
Acceptable use
You may use Classfold only for lawful educational, administrative, and related business purposes consistent with these Terms and applicable law. You must not misuse the service or interfere with other customers’ quiet enjoyment of their tenants.
Prohibited conduct includes attempting to gain unauthorized access to systems, accounts, or data; probing, scanning, or testing the vulnerability of other tenants or of Classfold infrastructure except through our documented responsible disclosure channel; bypassing authentication or tenant isolation controls; and distributing malware or conducting denial-of-service attacks.
You must not upload or transmit unlawful, harassing, defamatory, or infringing content; use the service to send unsolicited bulk messages unrelated to legitimate institute operations; or resell, sublicense, or provide Classfold as a competing hosted service to third parties without our prior written consent.
We may investigate suspected violations and suspend or restrict access as described in the suspension and termination section when we reasonably believe these rules have been breached.
- No unauthorized access, credential stuffing, or tenant isolation bypass
- No unlawful, infringing, or abusive content
- No interference with service integrity or other customers
- No reverse engineering except to the limited extent mandatory law allows
- No use that violates education, privacy, or export laws applicable to you
Subscriptions and billing
Classfold is offered on subscription plans described on our pricing pages, order forms, or in-product plan selection. Features, seat or usage limits, and commercial terms depend on the plan you select and any written order.
Fees are due as stated at checkout or on the invoice. Unless otherwise agreed in writing, subscriptions renew for successive terms of the same length at then-current rates if not cancelled before the renewal date according to the cancellation method we provide.
Prices may be stated exclusive of taxes. Where India GST or other taxes apply, they will be charged as required by law and shown on the invoice or checkout flow. You are responsible for taxes assessed on your purchase, excluding taxes based on Vinidra’s net income.
Payment is processed through payment service providers. Failed payments may result in dunning notices and, after reasonable opportunity to cure, suspension of paid features. Refunds, if any, are handled according to the applicable order, plan terms, or mandatory consumer law; these Terms do not invent a fixed refund percentage.
We may change plan pricing or packaging for future renewal terms with reasonable advance notice. Continued use after the effective date of a price change for a new term constitutes acceptance of the new pricing for that term.
Customer content and intellectual property
As between the parties, Customer retains all rights in content, data, and materials that Customer or its users submit to Classfold (“Customer Content”), subject to the limited license below and any third-party rights in that content.
Customer grants Vinidra a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, and process Customer Content solely as needed to provide, maintain, secure, and support Classfold, and to create de-identified or aggregated data that does not identify Customer or individuals for improving the service.
Vinidra and its licensors own Classfold, including software, interfaces, documentation, trademarks, and all related intellectual property. These Terms do not transfer ownership of Classfold to you. We grant you a limited, non-exclusive, non-transferable right to access and use Classfold during a valid subscription in accordance with these Terms.
Customer represents that it has all rights and consents needed to submit Customer Content to Classfold and to permit our processing of that content as described in these Terms and the Privacy Policy.
Feedback you provide about Classfold may be used by Vinidra without obligation to you, and you assign any rights in such feedback to Vinidra to the extent permitted by law.
Privacy
Our collection and use of personal information is described in the Classfold Privacy Policy at /privacy. The Privacy Policy is incorporated by reference into these Terms for informational and compliance purposes.
For tenant-hosted academic and staff data, Customer is typically the controller and instructs Vinidra as processor through product configuration and these Terms. Customer is responsible for providing required notices to its users and obtaining any consents required under applicable law.
Each party will comply with privacy and data-protection laws applicable to its own role. Additional data processing terms may be agreed in a separate data processing addendum where required.
Confidentiality
Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure (“Confidential Information”). Customer Content is Customer’s Confidential Information. Classfold non-public technical and commercial information is Vinidra’s Confidential Information.
The receiving party will use Confidential Information only to perform under these Terms, protect it with reasonable care, and not disclose it to third parties except to personnel and service providers who need to know it and are bound by confidentiality obligations at least as protective as these Terms.
Confidentiality obligations do not apply to information that is or becomes public through no fault of the receiver, was rightfully known without restriction before disclosure, is independently developed, or is rightfully received from a third party without duty of confidentiality.
A party may disclose Confidential Information when required by law or court order, provided it gives reasonable prior notice to the other party if legally permitted and discloses only what is required.
Disclaimers
Classfold is provided on an “AS IS” and “AS AVAILABLE” basis to the maximum extent permitted by law. Vinidra disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that Classfold will be uninterrupted, error-free, or free of harmful components, or that all defects will be corrected. We do not make uptime percentage guarantees in these Terms. Any service-level commitment applies only if expressly stated in a separate signed order or SLA document.
Customer is solely responsible for decisions made using outputs from the service, for backup of Customer Content it wishes to retain independently, and for verifying that Classfold meets the Customer’s regulatory or accreditation requirements before relying on it for those purposes.
Some jurisdictions do not allow certain disclaimers. In those jurisdictions, disclaimers apply to the fullest extent permitted, and mandatory consumer rights remain unaffected.
Limitation of liability
To the maximum extent permitted by law, Vinidra and its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or cost of substitute services, regardless of the theory of liability and even if advised of the possibility of such damages.
To the maximum extent permitted by law, Vinidra’s aggregate liability arising out of or related to these Terms or Classfold will not exceed the total fees paid by Customer to Vinidra for the Classfold subscription giving rise to the claim during the twelve (12) months immediately preceding the event first giving rise to liability.
The limitations above do not limit liability for death or personal injury caused by negligence where such limitation is prohibited, for fraud or fraudulent misrepresentation, for willful misconduct, or for any other liability that cannot be limited under applicable law.
The fees charged for Classfold reflect this allocation of risk. Customer agrees that these limitations are an essential basis of the bargain.
Indemnity
Customer will defend, indemnify, and hold harmless Vinidra and its officers, directors, employees, and agents from and against third-party claims, damages, losses, and reasonable expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Content; (b) Customer’s use of Classfold in violation of these Terms or applicable law; (c) disputes between Customer and its students, staff, parents, or other end users; or (d) Customer’s failure to obtain required consents or provide required privacy notices.
Vinidra will promptly notify Customer of a covered claim, allow Customer reasonable control of the defense and settlement (provided a settlement does not impose obligation or admission on Vinidra without Vinidra’s prior written consent), and provide reasonable cooperation at Customer’s expense.
This indemnity does not require Customer to indemnify Vinidra for claims arising solely from Vinidra’s willful misconduct or from unmodified Classfold software infringing a third party’s intellectual property as finally adjudicated, except to the extent the claim is caused by Customer Content, Customer combinations, or Customer misuse.
Suspension and termination
You may stop using Classfold at any time. Subscription cancellation takes effect at the end of the then-current paid term unless the product or order states otherwise, and does not automatically entitle you to a refund of prepaid fees except where required by law or expressly agreed.
We may suspend or restrict access immediately if we reasonably believe: (a) there is a security risk or attack; (b) you are in material breach of these Terms, including non-payment after notice; (c) suspension is required by law; or (d) continued use could create liability for Vinidra or harm other customers.
Either party may terminate for material breach if the breach remains uncured thirty (30) days after written notice, or immediately if the breach is not reasonably curable. We may also terminate a free or trial workspace on reasonable notice.
Upon termination or expiry, your right to access Classfold ends. We will make Customer Content available for export for a limited commercially reasonable period where the product supports it, after which we may delete Customer Content from active systems in accordance with our Privacy Policy and backup cycles, except where law requires longer retention.
Sections that by their nature should survive (including intellectual property ownership, confidentiality, disclaimers, liability limits, indemnity, and governing law) survive termination.
Governing law and dispute resolution
These Terms and any dispute arising out of or relating to them or to Classfold are governed by the laws of India, without regard to conflict-of-law principles that would require application of another jurisdiction’s laws.
Subject to any mandatory consumer protections that cannot be waived, the courts in Bihar, India have exclusive jurisdiction over disputes arising out of or relating to these Terms or Classfold. You and Vinidra consent to personal jurisdiction and venue in those courts.
Our operations contact address in Bangalore, Karnataka, India is provided for correspondence and support convenience only. That contact location does not change the governing law or the exclusive venue in the courts in Bihar, India.
Before filing a formal claim, the parties will attempt in good faith to resolve disputes through support and escalation contacts. Nothing in this section prevents either party from seeking interim injunctive relief in an appropriate court to protect intellectual property or confidential information.
Changes and contact
We may update these Terms from time to time. When we make material changes, we will update the effective date on this page and may provide additional notice via email, in-product message, or website banner. Continued use of Classfold after the updated Terms take effect constitutes acceptance, except where mandatory law requires express consent.
If you do not agree to revised Terms, you must stop using Classfold and, if you are the Customer, cancel according to your plan before the changes apply to a new term where cancellation is the available remedy.

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms constitute the entire agreement between you and Vinidra regarding Classfold, except for any signed order or addendum that expressly modifies them.
